Terms of Service for pipe0

1. Introduction
These Terms of Service ("Terms") govern your access to and use of pipe0's services and API ("Service"), operated by PWLL UG (haftungsbeschränkt) ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
2. Definitions
- "API" means the pipe0 application programming interface and related documentation.
- "Customer" means any individual or entity that creates an account to use the Service.
- "Data" means any information processed, enriched, or provided through the Service.
- "End User" means any individual or entity that uses or interacts with Customer's applications that integrate the Service.
3. Account Registration and API Access
3.1. To access the Service, you must register for an account and obtain API credentials.
3.2. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your API credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use
4. Service Usage and Restrictions
4.1. Licensed Uses
- Integration of the API into your applications for lead and company data enrichment
- Processing and storing enriched data in accordance with applicable laws
- Displaying enriched data to your End Users
4.2. Prohibited Uses
- Reverse engineering or attempting to extract the source code of our API
- Sharing, reselling, or redistributing raw API access, or redistributing output data as a data product
- Using the Service for any illegal or unauthorized purpose
- Creating or spreading malware using our Service
- Exceeding rate limits or circumventing usage restrictions
- Any use of output data outside the permitted purpose in section 15 of the Data Processing Agreement, which restricts the Service to initiating and managing business relationships and prohibits eligibility decisions, consumer-oriented outreach, re-identification, and unlawful unsolicited communication
4.3. Nature of the Data
- The Service returns data obtained from third-party providers and from public sources. We do not verify it
- We do not warrant that output data is accurate, current, complete, or lawfully obtained by the provider, or that any particular record may lawfully be used for any particular purpose
- You are responsible for verifying output data before relying on it, and for deciding whether and how to contact any individual it identifies
5. Data and Privacy
5.1. Data Processing
- We process data in accordance with our Privacy Policy and applicable data protection laws
- You maintain ownership of your input data
- We retain rights to our enrichment methodologies, and to aggregate insights that identify neither you nor any individual
5.2. Data Processing Agreement
- Where we process personal data on your behalf in providing the Service, we do so as your processor under the Data Processing Agreement (the "DPA")
- The DPA forms part of these Terms and takes effect when you accept these Terms or first use the Service, whichever is earlier. No separate signature is required
- If you need a countersigned copy for your records, or need to negotiate terms, email legal@pipe0.com. Neither delays your use of the Service
- Where the DPA conflicts with these Terms on a question of data protection, the DPA prevails
5.3. Customer Obligations
- Obtain necessary consents for data processing
- Implement appropriate security measures
- Comply with applicable data protection laws
- Notify us without undue delay of any data breach involving the Service that you become aware of
5.4. Our Breach Notification Obligation
- We notify you of a personal data breach affecting personal data we process on your behalf, without undue delay and in any event within 72 hours of becoming aware of it, on the terms set out in section 12 of the DPA
6. Service Level Agreement
6.1. Availability
- We strive to maintain 99.9% API availability
- Scheduled maintenance will be announced at least 24 hours in advance
- Downtime due to factors beyond our reasonable control is excluded
6.2. Support
- Standard support is provided via email during business hours
- Premium support options are available for enterprise customers
- Response times vary based on issue severity and service tier
7. Fees and Payment
7.1. Pricing
- Service fees are based on usage and selected plan
- Fees are charged monthly unless otherwise agreed
- We reserve the right to change pricing with 30 days' notice
7.2. Payment Terms
- Payments are due within 30 days of invoice date
- Late payments may result in service suspension
- All fees are non-refundable unless otherwise stated
8. Term and Termination
8.1. Term
- These Terms remain effective until terminated
- Either party may terminate with 30 days' written notice
8.2. Effect of Termination
- Upon termination, you must cease all use of the Service
- You remain liable for all fees incurred
- Sections 5, 9, 10, and 11, and the DPA, survive termination
9. Warranties and Disclaimers
9.1. Limited Warranty
- We warrant that the Service will perform substantially as described
- We will use commercially reasonable efforts to maintain service quality
9.2. Disclaimer THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT DATA WILL BE ACCURATE, CURRENT, OR COMPLETE.
10. Limitation of Liability
10.1. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST OR CORRUPTED DATA, OR THE COST OF SUBSTITUTE SERVICES.
10.2. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10.3. Sections 10.1 and 10.2 do not exclude or limit liability for intent or gross negligence, for injury to life, body or health, or under the German Product Liability Act (Produkthaftungsgesetz). Where we negligently breach a material contractual obligation, our liability is limited to the foreseeable damage typical of this type of contract. Nothing in these Terms limits any liability that cannot be limited or excluded by law.
10.4. The limits in this section apply to our liability. They do not apply to your indemnity under section 11, and they do not apply to your liability for a breach of section 4.
11. Indemnification
11.1. You agree to indemnify, defend and hold harmless the Company and its officers, directors, employees, agents, and suppliers from and against any claims, supervisory authority proceedings, fines, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with your use of the Service, your violation of these Terms or of applicable law, your use of output data outside the permitted purpose, or any claim relating to publicity rights, defamation, or invasion of privacy in connection with your use of the Service.
11.2. This indemnity is not subject to the limits in section 10. It does not apply to the extent the claim results from our own breach of these Terms, our gross negligence, or our intentional misconduct.
11.3. Section 15 of the Data Processing Agreement governs indemnification and the allocation of responsibility for claims relating to personal data, and prevails over this section for those claims.
12. Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by the laws of Germany. Any disputes shall be resolved exclusively in the courts of Berlin, Germany.

15. Severability
